1. What Pearl Is
Pearl Tech Inc., a Delaware corporation ("Pearl Tech"), provides this app ("Pearl") as a personalized financial coaching, education, and organization tool. With your permission, Pearl reads bank, transaction, balance, and goal information through Plaid, and uses artificial intelligence to help you:
• See your cash position, income, spending, bills, debt, and goals in one place.
• Spot patterns and changes in your finances.
• Consider general, non-securities ideas — for example, paying down higher-interest debt first, building emergency savings, setting aside cash for self-employment taxes, or pacing toward a savings goal.
• Ask questions through chat.
• Receive notifications, daily or near-daily, that summarize your finances and show options you may want to consider.
2. What Pearl Is Not
Pearl Tech is not registered as an investment adviser with the U.S. Securities and Exchange Commission (SEC) or any state securities authority, is not a registered broker-dealer, and does not provide investment advisory or brokerage services.
Pearl is not your financial advisor, investment adviser, broker, fiduciary, accountant, attorney, or tax professional. No description of Pearl — including any colloquial reference to a "CFO," "advisor," "planner," "wealth manager," or similar role — creates any advisory, fiduciary, brokerage, accounting, legal, or tax-professional relationship between you and Pearl Tech.
3. What Pearl Will Never Do
To keep our role clear, Pearl will not:
• Recommend specific stocks, bonds, ETFs, mutual funds, cryptocurrencies, or other securities.
• Tell you to buy, sell, hold, rebalance, or allocate any specific investment.
• Suggest a personalized portfolio composition or asset allocation.
• Move your money, place trades, or execute transactions on your behalf — you take every action yourself, on your own accounts.
• Provide personalized investment, legal, tax, or accounting advice.
• Act as a fiduciary with respect to your assets or financial decisions.

4. What Pearl Shows You Is Yours to Take or Leave
Pearl can highlight ideas, build summaries, and organize your finances, but Pearl does not act on your accounts. Anything Pearl shows you — an idea, a number, an option, a question — is for you to consider, modify, or ignore. You decide what to do, you take the action yourself at your bank, brokerage, or other institution, and you are solely responsible for any outcome.
5. Pearl Uses AI — and AI Can Be Wrong
Pearl is built on large language models and other machine-learning systems, including third-party AI providers (such as OpenAI, Anthropic, and xAI) to which we send relevant portions of your data for processing. AI is probabilistic and can produce inaccurate, incomplete, outdated, or misleading output — including content that sounds confident but is factually wrong (sometimes called "hallucinations"). Pearl's output may:
• Misclassify a transaction (for example, treat a rent payment as an investment transfer, or vice versa).
• Miscalculate a balance, surplus, runway, or projection.
• Reflect stale, partial, or miscategorized data from your connected institutions.
• Misinterpret your goals, situation, or intent.
• Show ideas that, on closer review, do not fit your circumstances.
Do not act on Pearl's output without verifying it yourself. Always check your accounts at the source institution and, when in doubt, consult a qualified professional. Pearl Tech does not warrant that any output is accurate, complete, current, suitable, or appropriate for you.
6. Bank Data Is Messy
Pearl reads transaction and balance data from your connected financial institutions through a third-party aggregator (Plaid). This data is frequently miscategorized, delayed, or incomplete at the source. Pearl makes a best-effort interpretation but cannot independently verify it. Treat Pearl's view of your finances as a helpful summary, not a substitute for your statements of record.
7. Investment Risk and No Guarantees
If you choose to invest — through any platform, for any reason — all investments involve risk, including the possible loss of principal. Past performance, including any simulated, backtested, or hypothetical result, is not indicative of future results. Pearl makes no guarantee of any specific financial outcome, including any return, savings amount, debt reduction, credit improvement, or goal achievement.
You acknowledge that you are solely responsible for evaluating any financial decision you make, with or without input from Pearl, and you agree that you will not rely on Pearl as the sole basis for any such decision.
8. No Fiduciary or Advisory Relationship
Use of Pearl does not create, and shall not be construed as creating, any fiduciary, advisory, brokerage, accounting, legal, or tax-professional relationship between you and Pearl Tech or its affiliates, officers, directors, employees, or agents. Pearl Tech expressly disclaims any fiduciary obligation or duty of loyalty or care with respect to your finances and is under no obligation to update, correct, supplement, or revise any content provided in the App.
9. Notifications
By using Pearl, you understand and agree that Pearl will send you personalized communications — including push notifications, in-app messages, and email — on a daily or near-daily basis that reference your finances. These messages are part of the coaching experience and never instruct you to buy, sell, or hold any security. You may adjust or disable notifications in the App's settings or your device settings at any time.
10. Limitation of Liability
To the maximum extent permitted by applicable law, Pearl Tech, its affiliates, and their respective officers, directors, employees, agents, licensors, and service providers ("Released Parties") disclaim all liability for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages — including loss of profits, savings, data, or business opportunities — arising from or related to your access to, use of, or reliance on the App, its content, its notifications, or any AI-generated output. You agree to release, indemnify, defend, and hold harmless the Released Parties from any claims, losses, liabilities, damages, costs, or expenses (including reasonable attorneys' fees) arising out of or related to your use of the App or your breach of these terms.
11. Third-Party Data and Links
The App incorporates data and services from third parties, including bank-data aggregators and AI providers. Pearl Tech does not independently verify, and does not warrant the accuracy, completeness, timeliness, or availability of, third-party data or services. Third-party websites and links are provided for convenience only; Pearl Tech does not endorse them.
12. Geographic and Regulatory Limitations
Pearl is intended solely for use by individuals located in the United States. Pearl Tech makes no representation that Pearl is appropriate or available for use in any other jurisdiction. Forward-looking statements within the App — including projections, runway estimates, and hypothetical scenarios — are inherently uncertain and subject to change without notice.
13. Governing Law
This Disclosure & Disclaimer, and any dispute or claim arising out of or relating to it, shall be governed by and construed in accordance with the laws of the State of Delaware, excluding its conflict-of-law principles. You agree that any legal action shall be subject to the exclusive jurisdiction of the state and federal courts located within the State of Delaware.
